Article 1: These General Terms and Conditions of Sale (CGV) apply between Laurence Zimmermann EI, FractalMax, 66 Avenue des Champs-Élysées, 75008 PARIS, hereinafter referred to as "Laurence Zimmermann EI, FractalMax," and the client, hereinafter referred to as the "Client." Collectively referred to as the "Parties."

Article 2: Acceptance of the Terms and Conditions of Sale
The present Terms and Conditions of Sale (TCS) take effect upon the Client's acceptance of the terms. This acceptance may be formalized through:

Signing a quote containing the statement: “By signing this quote, you acknowledge that you have read and accepted the Terms and Conditions of Sale.” The signed quote then serves as a purchase order.

Filling out a form with one or more checkboxes for the acceptance of the Conditions of Sale. The client will see a statement similar to the following: “By checking the boxes below and ordering 'name of the service,' you confirm that you have read, understood, and accepted our Terms and Conditions of Sale, Terms of Use, Privacy Policy, and Publishing Guidelines.”

For standard services such as press release packages or preconfigured options available on the website, a quote is not systematically provided. In these cases, the validation of the order by the Client, including acceptance of the present TCS, formalizes the contract. However, a quote may be provided upon specific request from a professional Client.
The Client must also accept the Terms of Use and Privacy Policy, available on the website, before validating their order.
2.1. Execution of Services
By placing an order, the Client acknowledges and accepts that service execution will begin as follows:

Starter, Premium and Platinum Packages: Upon approval of the press release for distribution or at the start of preparatory work on the press release.

Targeted Press Campaigns: Upon the start of the outreach phase or any other preparatory activity related to the campaign.

Upon receipt of the signed quote and/or payment, and once the Client has provided all necessary materials and approvals required to initiate the project.

2.2. Absence of Right of Withdrawal
In accordance with Article L221-18 of the French Consumer Code, the right of withdrawal applies only to consumers acting for non-professional purposes. As the services of Laurence Zimmermann EI, FractalMax are exclusively intended for professionals, the right of withdrawal does not apply.
By accepting the present TCS, the professional Client expressly acknowledges this exclusion.
2.3. Exceptional Cases: Right of Withdrawal for Consumers
In the exceptional event that a consumer places an order with Laurence Zimmermann EI, FractalMax:

The consumer has the right to withdraw from the contract within 14 days of its conclusion, in accordance with Article L221-18 of the French Consumer Code, without providing a reason or incurring penalties.

In compliance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to:

Services fully executed before the end of the withdrawal period.

If the service execution begins during the withdrawal period and the Client is a consumer, the Client must:

If the right of withdrawal is exercised for services already started, a partial refund may be granted for portions of the service not yet performed.
2.4. Orders from Minors Prohibited
To place an order on FractalMax.agency, the Client must be at least 18 years old. Laurence Zimmermann EI, FractalMax does not recognize any terms of sale other than those defined in the present TCS.
Article 3: Prices
The prices of the services sold are those in effect on the date of the order. They are quoted in euros (€) and calculated excluding taxes (HT). Consequently, they will be increased by the applicable VAT rate on the day of the order.
3.1. Standard Services
Prices for standard services (web design, graphic design, web consultation and other services) are available via quotes or listed on our website.
For press release services (Starter, Premium, Platinum or add-ons), the prices are displayed online or communicated at the time of order.
3.2. Targeted PR Campaigns
Targeted PR campaigns require personalized pricing based on:

The client’s specific requirements (e.g., industry, target audience).

The complexity level or resources needed.
A quote will be provided for these campaigns unless otherwise specified. Predefined packages may also be offered on the website as an alternative to quotes.
3.3. Price Revisions
Laurence Zimmermann EI, FractalMax reserves the right to change its prices at any time without notice. However, the prices indicated at the time of order or quote signing will apply.
3.4. Excluded Services
Certain specific services, such as targeted PR campaigns, may incur additional fees. These fees will be clearly detailed at the time of order or in the personalized quote.
Article 4: Order Procedure
4.1. Ordering Web Design Services and other services (article 1.3)
Clients can order web design services and other services from Laurence Zimmermann EI, FractalMax using the following methods:
Order Method 1: Schedule a Free Call
The first step is to schedule a free call to discuss your website project or other services (article 1.3). After this call, you will receive a quote that must be accepted and signed to proceed.
Order Method 2: Direct Email Inquiry
Clients may also send an email detailing their project. Following this, you may receive a quote that must be accepted and signed to proceed.
Order Method 3: Purchase Directly on the Website (if this option is available)
For predefined web design packages detailed on our website or other services, the Client may select and purchase directly online if this option is available at the time of ordering.. Quotes are not systematically provided unless specifically requested by the Client. However, we always recommend contacting us beforehand to ensure your web design project or other projects aligns with our services.
For Order Methods 1 and 2, the Client will receive a form with a payment link, an email with a payment link, or bank transfer instructions to finalize the order.
Note: To provide a quote, the Client must clearly communicate their requirements to Laurence Zimmermann EI, FractalMax, either by email or during a video call.
4.2. Ordering Press Release Services
Clients can order press release services, including Starter, Premium or Platinum packages or targeted press campaigns, using the following methods:
Order Method 1: Schedule a Free Call
The Client may book a free call to discuss their needs for Starter, Premium, Platinum or targeted press campaigns.
Order Method 2: Direct Email Inquiry
The Client may send an email to order the Starter, Premium, or Platinum package or inquire about a targeted press campaign.
Order Method 3: Purchase Directly on the Website (if this option is available)
If the Starter, Premium, Platinum or standard targeted campaign packages are available for direct purchase on the website, the Client can select and complete the order online without requesting a quote. However, we always recommend contacting us beforehand to ensure your project aligns with our services.
For Order Methods 1 and 2, the Client will receive a form with a payment link, an email with a payment link, or bank transfer instructions to finalize the order.
The press release content must comply with the Publishing Guidelines available on our website.
Note we may add additional packages for press services with different names.
4.3. Non-Accepted Projects
We do not accept web design projects or other services related to:

Illegal activities or content: Any activity or material violating applicable laws.

Adult content: Pornographic, erotic, or explicit material.

Hateful or discriminatory content: Material inciting hatred, violence, or discrimination based on race, religion, sexual orientation, or other factors.

Piracy or infringement: Content promoting piracy, intellectual property violations, or breaches of third-party rights.

Fraudulent products or services: Projects involving scams, fraud, or unfair practices.

4.4 Ordering Procedure and Personal Data
During the ordering process, certain personal data from the client is collected to facilitate the processing and management of the request. The client has the right to access, modify, rectify, oppose, and delete their personal data, in accordance with the French Data Protection Act of January 6, 1978, and the General Data Protection Regulation (GDPR).
However, the right to deletion does not apply to press releases that have already been published or distributed, as these may have been shared with third parties (journalists, media outlets, external platforms). Such copies cannot be deleted or removed from the public or private archives of third parties who have received the press releases, in accordance with Article 17(3) of the GDPR, particularly for reasons related to the freedom of expression and information.
For more information regarding the processing and transfer of personal data, please refer to Article 22.
The Client expressly authorizes Laurence Zimmermann EI, FractalMax to issue invoices in electronic format for the services provided. These invoices have the same legal validity as paper invoices, in accordance with applicable regulations.
4.5 Personal Data and Billing
The client has the right to access, modify, rectify, oppose, and delete their personal data in accordance with the French Data Protection Act of January 6, 1978.
The Client expressly authorizes Laurence Zimmermann EI, FractalMax to issue invoices in electronic format for the services provided. These invoices will have the same legal validity as paper invoices, in accordance with applicable regulations.
4.6 Domain Name (Applicable to Web Projects Only)
Laurence Zimmermann EI, FractalMax does not verify the legality of the domain name you provide. The client certifies that they hold the necessary rights (e.g., registered trademarks) to purchase and manage the domain name. The choice and responsibility for the domain name lie entirely with the client, even if they request Laurence Zimmermann EI, FractalMax to proceed with the purchase.
Article 5: Client Obligations
5.1. Provision of Necessary Materials
The Client agrees to provide all materials required for the services ordered in a timely manner. These materials must meet the specific requirements outlined for each service, as follows (this list is not exhaustive and may be supplemented based on project-specific needs):

For Websites: Text content (in Word, Keynote, PowerPoint, or similar formats), images (in PNG, JPEG, or other compatible formats), videos, audio files, logos, and any other elements to be incorporated into the website.

For Press Releases: The complete text of the press release, along with accompanying materials such as images, videos, logos, and any additional elements intended for inclusion.

For Targeted PR Campaigns: Detailed information about the product, service, or event being promoted, along with supporting data, studies, or other relevant materials to strengthen the campaign.

For Google Business Profile (GBP) Services: Accurate and up-to-date business details, including name, address, phone number (NAP), business category, operating hours, images, videos, and any other content required to optimize the profile.

For Local Marketing: Details about the target location(s), audience demographics, promotional materials, and any specific offers or campaigns to be included.

For Social Media Marketing: Access to relevant social media accounts (via secure methods), brand guidelines, target audience profiles, pre-approved content themes, and any visuals or materials to support the campaign.

For Citation Management: A complete list of existing citations, updated business information (NAP), and access to directory accounts if applicable, along with any corrections or new content to be added.

For Branding Kit: Logos, typography preferences, color palettes, and any existing brand guidelines or references to define the brand's identity.

For Press Kit: Company history, mission, vision, logos, high-resolution images, team bios, key achievements, and any other materials requested to create the press kit.

For SEO Services: Access to website back-end (CMS, FTP, etc.), existing keyword strategies, content assets, and any specific objectives or priorities for optimization.

For Paid Advertising Campaigns: Access to advertising accounts (Google Ads, TikTok, Facebook, etc.), creative assets (images, videos, ad copy), target audience details, budget allocation, and any pre-approved messaging or themes.

For Content Creation: Detailed briefs for the content required, including target audience, objectives, tone of voice, and examples or references where applicable. Any additional assets such as images, videos, or research materials to enhance the content.

For Social Media Posting: A posting schedule, access to social media accounts (via secure methods), pre-approved content themes or calendars, and any visuals, hashtags, or specific campaign materials to be included.
The Client is solely responsible for ensuring that all provided materials are:

Authorized for use in the specified services.

Compliant with applicable laws and free of copyright or intellectual property violations.
Laurence Zimmermann EI, FractalMax does not verify, validate, or investigate the legality, accuracy, or authorization of the materials provided. Any delays or issues arising from incomplete, unauthorized, or non-compliant materials are the sole responsibility of the Client.
5.2. Guarantees on Provided Content
The Client guarantees that they have obtained all necessary rights, permissions, and authorizations to use any texts, images, videos, illustrations, icons, logos, trademarks, or other content provided to Laurence Zimmermann EI, FractalMax. This includes securing explicit consent from third parties, where applicable, for the inclusion and distribution of their content.
Laurence Zimmermann EI, FractalMax is not liable for any copyright, intellectual property, or other legal issues related to materials provided by the Client. The Client accepts full responsibility for the legality and accuracy of all submitted content.
For press releases, the following conditions specifically apply, but are not limited to:

Images or Videos: All accompanying images or videos must be royalty-free or explicitly authorized for use and distribution.

Quotes or References to Third Parties: Quotes, statements, or references to third parties must be properly attributed and authorized for inclusion.

Attributions: Any third-party contributions, such as logos or trademarks, must be accurately represented and properly authorized for inclusion.

Acceptance of provided materials by Laurence Zimmermann EI, FractalMax does not imply endorsement or validation of their legality or compliance.
5.3. Google Business Profile (GBP) and Citation Management
Accuracy of Information: The Client is responsible for providing accurate information, including the name, address, phone number (NAP), and operating hours. Any errors or inconsistencies in the information provided are the sole responsibility of the Client.
Rights to Visual Content: All images or videos provided for the profile or citations must be royalty-free or explicitly authorized for online use.
5.4. Local Marketing and Social Media
When Laurence Zimmermann EI, FractalMax, manages the service entirely:
Laurence Zimmermann EI, FractalMax ensures that the content created or modified complies with the policies of the platforms used (Facebook, Instagram, Google, etc.) and the applicable standards for those services.
When the Client provides materials to be integrated:
The Client agrees to provide materials that comply with the policies of the platforms used. Any content provided by the Client, including text, images, or videos, must be royalty-free, conform to applicable laws, and adhere to the specific standards of the platforms in question.
5.5. Press and Branding Kits
Accuracy of Information: Any historical or factual information included in the press or branding kits must be accurate and verifiable.
Intellectual Property: The Client guarantees that the logos, slogans, images, and other elements provided for these kits do not infringe upon any intellectual property rights.
5.6. Indemnity for Provided Content
The Client agrees to indemnify and hold harmless Laurence Zimmermann EI, FractalMax, along with its partners, affiliates, collaborators, and employees, from any claims, damages, losses, or expenses, including legal fees, arising from:

Unauthorized use of content provided by the Client, including intellectual property infringement or other legal disputes.

Any disputes or claims arising from the inclusion of third-party materials in the press release or other deliverables.
5.7. Excluded Services
The following services are explicitly excluded from the scope of work provided by Laurence Zimmermann EI, FractalMax:

Legal Validation of Content: Verification of the legality, accuracy, or compliance of content submitted by the Client, including press releases and materials for PR campaigns.

Guaranteed Results: No guarantees are provided for specific outcomes such as sales, leads, media coverage, visibility, or search engine rankings.

Editorial or Media Placement Guarantees: For targeted PR campaigns, Laurence Zimmermann EI, FractalMax does not guarantee publication or acceptance of materials by third-party platforms, newsrooms, or journalists. Only the Starter and Premium packages include 300+ guaranteed placements.

Legal Documentation: Drafting or validation of legal texts such as Privacy Policies, Terms and Conditions, or disclaimers.

5.8. Active Collaboration
The client agrees to actively collaborate with Laurence Zimmermann EI, FractalMax by providing requested information within agreed deadlines to avoid delays. For targeted PR campaigns, prompt client responses for document or strategy approvals are essential.
5.9. File Backup
The client is responsible for backing up all files, documents, videos, images, or other materials provided to Laurence Zimmermann EI, FractalMax. Laurence Zimmermann EI, FractalMax is not a storage platform and cannot guarantee the retention of documents after the service is completed.
Article 6: Service Limitations and Specifics
6.1. No Verification of Client-Provided Content
Laurence Zimmermann EI, FractalMax does not verify, validate, or investigate the legality, accuracy, or authorization of content submitted by the Client, including third-party materials. The Client is solely responsible for ensuring that all content—texts, images, videos, logos, trademarks, quotes, and other materials—complies with applicable laws and has all necessary permissions for use and distribution.
Laurence Zimmermann EI, FractalMax reserves the right to:

Request clarification for any submitted content raising legal or compliance concerns.

Decline the use of content that includes visible copyright markings, watermarks, or other indications of unauthorized use.
Important Note: The acceptance of materials by Laurence Zimmermann EI, FractalMax does not impose an obligation to verify their legality, compliance, or authorization. While we strive to maintain high standards and may flag visible issues (e.g., watermarks or explicit copyright markings) if noticed, this is a discretionary effort and not a substitute for a thorough legal review. The Client remains fully responsible for ensuring that all submitted content complies with applicable laws, including intellectual property, copyright, and related regulations, and for obtaining all necessary permissions. For guidance, we recommend consulting legal experts or using reliable royalty-free content sources.
6.2. Clarifications on Expectations for PR Campaigns and Web Design
Laurence Zimmermann EI, FractalMax is committed to delivering high-quality services and making every reasonable effort to support and enhance your business objectives. However, specific outcomes cannot be guaranteed. This applies to:
PR Campaigns:
While we make every effort to create and execute impactful PR campaigns, results such as leads, sales, website visitors, or media placements are not guaranteed (for targeted PR campaigns). The success of a PR campaign depends on various factors, including the receptiveness of media outlets, market conditions, and the quality of the materials provided by the Client.
Web Design:
Websites are optimized for performance, functionality, and design. However, we cannot guarantee specific outcomes, such as increased sales, leads, or search engine rankings, as these results are influenced by numerous external factors, including the Client’s marketing strategy and industry dynamics.
6.3. Press Releases as a Service
Laurence Zimmermann EI, FractalMax offers drafting and optimization of press releases to support the Client's communication objectives. However, the following terms apply:
Responsibility for Content:
The Client is solely responsible for the accuracy, legality, and authenticity of all information provided for inclusion in the press release. Laurence Zimmermann EI, FractalMax does not verify, validate, or investigate the content for legal compliance or factual accuracy.
Right to Decline Service:
Laurence Zimmermann EI, FractalMax reserves the right to decline drafting or optimizing a press release if the content raises legal, ethical, or compliance concerns.
No Legal Validation:
Legal validation or ensuring compliance with specific laws and regulations is not included in this service. The Client is responsible for seeking independent legal advice if needed.
Indemnification:
The Client agrees to indemnify and hold harmless Laurence Zimmermann EI, FractalMax, its officers, employees, and partners from any claims, damages, losses, or legal actions arising from the content of the press release or its distribution. This includes, but is not limited to, issues related to intellectual property infringement, copyright violations, or false advertising.
For press releases, this specifically includes, but is not limited to:

Images or Videos: Accompanying images or videos must be royalty-free or explicitly authorized.

Quotes or References to Third Parties: Quotes, statements, or references to third parties must be properly attributed and authorized.

Media Contacts (if applicable): Media contacts provided by the Client must be accurate, authorized, and compliant with applicable guidelines.
6.4. Use of Wix Media Assets
Media assets (e.g., images, videos, or design elements) provided as part of the website created by Laurence Zimmermann EI, FractalMax and sourced through Wix are intended solely for use within the website. These assets may not be downloaded, copied, or used elsewhere without prior authorization from Wix or the original rights holder. The Client is responsible for ensuring that these assets remain exclusively on the website.
6.5. Use of AI in Press Releases
Laurence Zimmermann EI, FractalMax utilizes AI tools to assist in drafting and optimizing press releases, enhancing efficiency and quality. The initial draft is created using AI technology and is reviewed and refined by Laurence Zimmermann EI, FractalMax to ensure relevance and alignment with the Client’s communication objectives.
However, due to the diversity of topics and industries, Laurence Zimmermann EI, FractalMax may not have specific expertise in all niches. The draft press release will be submitted to the Client for validation before finalization and distribution. The Client is solely responsible for reviewing the content to ensure its accuracy, legality, and appropriateness for their intended audience.
This clause is in compliance with Articles 1103, 1112-1, and 1171 of the Code Civil, as it transparently defines roles and responsibilities while maintaining a fair balance between the rights and obligations of both parties.
If the content of the press release requires niche-specific expertise, the Client is encouraged to seek input from a subject-matter expert before approving the final draft. Client validation constitutes acceptance of the draft, and no further changes will be made after approval.
6.6 Clarification for other Services (listed in article 1.3)
Deadlines and Timelines
The Client agrees to provide the necessary materials within the agreed timeframe. Any delay in submitting the materials may result in delays in service delivery, for which Laurence Zimmermann EI, FractalMax, or its sub-contractors cannot be held liable.
Communication and Collaboration
The Client agrees to respond promptly to requests for information or clarification during the service delivery process. Delayed responses may impact the delivery timeline without liability to Laurence Zimmermann EI, FractalMax.
Legal Compliance for Marketing Content
The Client guarantees that any marketing claims, offers, or promotional content provided for social media or local marketing campaigns comply with applicable advertising laws and regulations.
6.7 Notice About Google Business Profile Listing
Laurence Zimmermann EI, FractalMax, or its sub-contractors, does not create new Google Business Profile listings. Services are limited to optimizing existing profiles. If the listing is duplicated, requires verification, or becomes suspended, it is the client’s responsibility to resolve these issues directly with Google.
Neither FractalMax nor its sub-contractors can be held liable for delays, interruptions, or issues arising from duplicate listings, verification problems, or suspensions, as these fall outside the scope of the services provided. Clients are encouraged to ensure their Google Business Profile complies with Google’s policies and is in good standing before engaging our services.
Article 7: Obligations of Laurence Zimmermann EI, FractalMax
7.1. Adherence to Deadlines
Laurence Zimmermann EI, FractalMax endeavors to deliver ordered services within the estimated or agreed timelines. These timelines are indicative and do not constitute a firm commitment.

For Websites: Estimated timelines are outlined in the quote. In the event of unforeseen circumstances, a new deadline will be communicated.

For Press Releases: For Starter, Premium, or Platinum Packages, press releases are typically distributed within 7 business days after client content approval.

Execution timelines, including outreach activities, will be specified in the quote, order, or communicated explicitly during a meeting or written correspondence with the Client. Laurence Zimmermann EI, FractalMax ensures that these timelines are clearly defined and agreed upon before the campaign begins.

For the services listed in Article 1.3: The timelines will depend on the size and complexity of the project. These timelines will be communicated to the Client during the call or a meeting, prior to the start of the work.
In all cases, Laurence Zimmermann EI, FractalMax will make every reasonable effort to meet the stated deadlines. If a delay is unavoidable, the Client will be informed promptly.
7.2. Monitoring and Communication
Laurence Zimmermann EI, FractalMax commits to maintaining clear communication with the Client during service delivery:
For Websites:
Updates will be provided in the Client’s private portal. If necessary, additional communication methods, such as email or a 15 to 30-minute video call, may be used at the discretion of Laurence Zimmermann EI, FractalMax. If delays occur in providing updates or feedback, the project timeline may be adjusted accordingly, and the Client will be informed promptly of any changes.
For Press Services:

Starter, Premium and Platinum Packages:
All communication, updates, and a detailed report of placements will be provided exclusively in the Client’s private portal after the distribution is completed. -
Targeted Campaigns:
Communication and updates throughout the campaign, as well as a final report detailing outreach activities, responses, and contacts, will be made available in the Client’s private portal. -
For other services listed in Article 1.3: Updates will be provided through the FractalMax private portal or other FractalMax dashboards related to the chosen service.
Alternative Communication Methods:
In the event of a technical problem with the Client’s private portal, Laurence Zimmermann EI, FractalMax may use alternative communication methods such as email, video calls, or other appropriate channels to provide updates and maintain communication.
7.3. Confidentiality of Information
Laurence Zimmermann EI, FractalMax, is committed to protecting the confidentiality of all information provided by the Client during project execution, except for information intended for public distribution. Information may only be shared with trusted partners strictly for the purpose of delivering the agreed services.
General Confidentiality: Client-provided information, such as trade secrets, industry-specific knowledge, or sensitive data unrelated to press releases, will:

Not be disclosed to third parties, even after the completion of the contract.

Not be used for personal or future gain.

Be safeguarded with reasonable security measures and used solely for executing the ordered services.
Public Nature of Press Releases: Any information, text, or materials provided for press releases are intended for public distribution. The Client acknowledges and agrees that such information will not be treated as confidential once the press release is distributed.
Exceptions to Confidentiality: Information may also be disclosed if:

Required by Law: Disclosure is mandated by legal or regulatory authorities.

These collaborators operate as independent contractors and are not employees of Laurence Zimmermann EI, FractalMax. They are engaged on a project basis to ensure efficient and effective service delivery in line with expectations.
Specialized partners, subcontractors, Virtual Assistants (VAs), freelancers, or other external providers are carefully selected to meet project needs. Laurence Zimmermann EI, FractalMax strives to choose competent and reliable collaborators. However, it cannot be held responsible for errors or delays attributable to these providers, except in cases of proven negligence in their selection or supervision.
Note on Additional Confidentiality Measures:
In certain cases or when using specific platforms, Laurence Zimmermann EI, FractalMax may require subcontractors or freelancers to sign an additional Non-Disclosure Agreement (NDA) to provide enhanced protection for sensitive information. This will be implemented only as necessary, depending on the nature of the project and the platform used.
Important Information for Members of the European Union
Specialized partners, sub-contractors, Virtual Assistants (VAs), and freelancers may operate from the United States or other countries outside the European Union. Clients located in Europe explicitly agree that some of their data may be transferred to these countries. They also acknowledge that the level of data protection in these countries may differ from the standards established by the GDPR, which may pose increased risks to the confidentiality and security of the information.
We specify, however, that we do not collect sensitive data, and the information shared is limited to what is strictly necessary for the realization of services.

8.2. Starter Premium and Platinum Packages
Starter and Premium packages include distribution to 300+ media outlets guaranteed:

Exceptions: Certain publishers, such as MarketWatch, Yahoo Finance, or Business Insider and others, may not allow links or do-follow links.
At the conclusion of the service, Laurence Zimmermann EI, FractalMax will:
Provide a detailed report of published links for the Starter and Premium Package.
8.3. No Placement Guarantees for Targeted Campaigns
Targeted PR campaigns involve personalized outreach to journalists, editors, influencers, or other relevant professionals based on the Client's objectives.
No Guarantees: No specific placement or publication is guaranteed, as decisions to publish or reject rest solely with the professionals contacted.
Reporting: A report detailing outreach efforts, including contacted professionals, will be provided.
Laurence Zimmermann EI, FractalMax is not responsible for the absence of media coverage or journalist responses. Refunds will not be granted for perceived unsatisfactory results, except in cases of non-performance of described services.
8.4. Tools and Resources
Laurence Zimmermann EI, FractalMax may rely on internal tools, resources, or solutions to ensure the effective distribution of press releases and identification of relevant contacts. These methods form part of the company’s internal processes to deliver high-quality services to clients. Certain tools and resources may involve third-party platforms, which are carefully selected to ensure the effective delivery of services. While Laurence Zimmermann EI, FractalMax ensures the proper integration of these tools into its services, any licensing or compliance obligations related to third-party elements remain the responsibility of the respective platform. Clients acknowledge that these methods are part of the company’s operational framework and agree to their use as necessary to fulfill the agreed-upon services.
8.5. Acceptance of Submissions
All submitted press releases will be reviewed by Laurence Zimmermann EI, FractalMax to ensure compliance with internal guidelines.

Prohibited or Restricted Content: The publishing guidelines’ list of prohibited or restricted industries and content is not exhaustive. Content deemed inappropriate, contrary to company values, or potentially damaging to the reputation of Laurence Zimmermann EI, FractalMax may be refused, even if not explicitly listed.

8.6. Press Release Editing

Minor Edits: Adjustments may include corrections to spelling, grammar, formatting, or other elements necessary to meet publishing standards.
Major Edits: Significant changes that alter the substance, tone, or key message will require client review and approval prior to distribution.
Third-Party Collaboration: Laurence Zimmermann EI, FractalMax may collaborate with third parties on editing press releases to ensure compliance with publishing standards and guidelines.

The services provided are subject to specific disclaimers to clarify their scope, limitations, and potential outcomes. These disclaimers form an integral part of the agreement between the service provider and the client. By agreeing to these terms, the client acknowledges and accepts the conditions outlined below, including that no specific results or outcomes are guaranteed.
8.7.1 Google Ads Disclaimer
Google Ads services aim to support marketing objectives through campaign creation, management, and optimization. However, campaign performance is influenced by factors beyond the service provider’s control, including audience behavior, competition, and market trends. No guarantees are made regarding return on investment (ROI), sales, or the volume of leads. The client is responsible for complying with Google’s advertising policies, and any account suspensions or restrictions due to policy violations are the client’s sole responsibility.
8.7.2 Meta Ads Disclaimer (Facebook & Instagram)
Meta Ads services focus on creating and managing campaigns on Facebook and Instagram. Results such as engagement, clicks, or conversions depend on external factors such as platform algorithms, audience behavior, and competitive dynamics. No guarantees are made regarding specific performance metrics. The client remains responsible for ensuring compliance with Meta’s advertising policies. Account restrictions, suspensions, or bans caused by policy violations are outside the service provider’s liability.
8.7.3 TikTok Ads Disclaimer
TikTok Ads services aim to enhance brand visibility and engagement. However, metrics such as views, clicks, or conversions are influenced by platform algorithms, audience behavior, and other external variables. Results are not guaranteed. The client is responsible for ensuring their content complies with TikTok’s advertising guidelines. Any account suspensions, rejections, or restrictions due to non-compliance are not the liability of the service provider.
8.7.4 SEO Disclaimer
SEO services are designed to improve website visibility through optimization strategies. However, factors such as algorithm updates, competition, and audience preferences affect rankings and traffic. No guarantees are made for specific outcomes, including first-page rankings or increased website traffic. The client must provide accurate and timely information to enable the success of SEO efforts.
8.7.5 Google Business Profile (GBP) Services Disclaimer
GBP services focus on optimizing existing Google Business Profiles. Issues such as duplicate listings, verification requirements, or suspensions must be resolved directly by the client with Google. No specific improvements in rankings, visibility, or engagement are guaranteed. The service provider is not liable for delays or issues caused by factors outside its control.
8.7.6 Content Services Disclaimer
Content creation services aim to align with the client’s objectives, but the effectiveness of the content in driving engagement, leads, or conversions depends on external factors such as audience preferences and market conditions. Results are not guaranteed. Clients are responsible for ensuring the content complies with applicable laws and regulations.
8.7.7 Social Media Posting Services Disclaimer
Social media posting services include creating, scheduling, and publishing content on social platforms. The effectiveness of these efforts depends on algorithms, audience behavior, and platform changes. No guarantees are made regarding audience growth, engagement, or conversions. Compliance with platform policies is the responsibility of the client. The service provider is not liable for account restrictions, suspensions, or bans resulting from violations of platform rules or other external factors.
Article 9: The Premium Portal
9.1. Features of the Portal
The Premium Portal is exclusively reserved for clients and facilitates communication between the client and Laurence Zimmermann EI, FractalMax. Through this portal, clients can:

Track the progress of their project, whether it's a website creation or press service.
9.2. Access for Press Services
Clients who purchase press release services or targeted PR campaigns also gain access to the Premium Portal, allowing them to:

9.4. Access Duration
Portal access is granted upon order validation and remains available throughout the service duration. Once the service is complete, the client’s portal will remain accessible for three months to allow the client to download and save shared documents and information.
9.5. Two-Step Access Procedure

Retention for Ongoing or Returning Clients: If the nature of the service is ongoing or if there is a reasonable expectation that the client may return, FractalMax Agency may retain portal-related data for up to 1 year to facilitate continued collaboration or ease the reactivation process. After this period, the client’s portal and any retained data will be securely deleted unless required by law or with the client’s explicit consent.
New Portal Creation: If a client returns after the three-month access period and the portal has been deleted, a new portal will be created for the continuation of services.
9.6. Client Responsibility
The portal is not a storage platform. Clients are responsible for saving shared files, documents, and reports on their devices before the access period ends.
Article 10: Website Management Service (Billed Monthly)
The website management service includes 4 hours of work per month + 1 weekly 30-minute video or phone call.

Laurence Zimmermann EI, FractalMax agrees to notify the client 1 month in advance of any annual leave.
Article 11: Testimonials, Photos, Full Name, Logo, and Shared Content
11.1. Testimonials and Client Authorization
The client authorizes Laurence Zimmermann EI, FractalMax to use:

The name and/or logo of their business.

Paid or free advertisements.
11.2. Content Related to Press Services
For press release services and targeted PR campaigns, the client also authorizes:

The use of their press releases as examples or case studies on the websites and communication materials of Laurence Zimmermann EI, FractalMax (ensuring confidentiality of sensitive information).

Mentioning the executed campaign (e.g., placements obtained or strategies used) in performance reports, case studies, or business presentations.
11.3. Terms and Respect for Rights
This authorization is granted without time limitation unless the client explicitly requests otherwise in writing. Laurence Zimmermann EI, FractalMax commits to not using confidential or sensitive content without prior client consent.
11.4. Withdrawal of Authorization
If the Client wishes to withdraw their authorization for all or part of the mentioned elements, they may submit a written request via email. The removal or cessation of the use of the content will be carried out within 7 business days following the receipt of the request.
However, content already published or shared prior to the receipt of the request cannot be retroactively removed, particularly if it is included in permanent media (blog articles, advertisements, social media posts, etc.).
Article 12: Discounts and Rebates
The prices offered include any discounts and rebates that Laurence Zimmermann EI, FractalMax may provide, particularly:

12.2. Application Conditions

Discounts and rebates will be clearly stated in the quote or online order and are only applicable if the associated conditions are met by the client (e.g., content submission deadlines, bulk orders).

Discounts or rebates are not retroactive and cannot be applied to orders placed before the effective date of the offer.
Article 13: Early Payment Discounts
No early payment discounts will be granted for:

Web design, ecosystem, and à la carte services, or other offerings on the website.

Press services, including Starter and Premium packages, add-ons, or targeted PR campaigns.
Article 14: Payment Terms
14.1. Payment for Web Design Services
Payments for web design services are structured as follows:

30% deposit at the start of the project.

70% balance upon website transfer to the client and launch.
Laurence Zimmermann EI, FractalMax may accept multiple payments for web design projects upon specific client request, as outlined in the quote. Work will commence only after the deposit is confirmed by our bank.
14.5. Payment for Press Services
For press services (Starter, Premium, Platinum, add-ons, or targeted campaigns):

Full payment is required before the service begins due to the immediate and customized nature of the service.

No press release will be distributed, and no campaign will start until full payment is confirmed.

The total amount will be specified in the online order or signed quote.
14.3. Accepted Payment Methods

Bank transfers (projects commence after confirmation of receipt).

Credit card payments or secure online platforms, where available during the order process.
14.4. Late Payment Clause
Any order not respecting agreed payment deadlines may be suspended until payment is regularized. Delays in execution due to late payment cannot be attributed to Laurence Zimmermann EI, FractalMax.
Article 15: Late Payment
15.1. Late Payment Penalties
In the event of partial or non-payment of services delivered or executed by the due date, the client must pay to Laurence Zimmermann EI, FractalMax:

The legal interest rate applied will be the rate in effect on the due date.

This penalty is calculated on the total amount due, inclusive of taxes, starting from the due date without requiring prior formal notice.

If, within fifteen (15) days of applying the "Late Payment" clause, the client has not settled the outstanding amounts:

16.2. Damages

Services for Professionals: If you are purchasing services for the primary needs of your professional activity (e.g., web design, press releases, or targeted campaigns), the withdrawal right outlined in Article L221-18 of the French Consumer Code does not apply.
Article 20: Force Majeure
Laurence Zimmermann EI, FractalMax is not liable for delays or non-performance resulting from force majeure, defined as any external, unforeseeable, and irresistible event under Article 1148 of the French Civil Code.

Withdrawal of consent for these transfers does not terminate the service agreement and does not entitle the client to a refund. However, the impact of these publications, including visibility, audience reach, and engagement, depends on factors beyond our control, such as platform policies, media outlet decisions, and market conditions.
No Guarantee of Longevity for Published Press Releases
While efforts are made to ensure press releases are distributed to relevant platforms, Laurence Zimmermann EI, FractalMax does not guarantee that press releases will remain published indefinitely, as this depends on third-party policies and platforms.
Independent Service Provider
Laurence Zimmermann EI, FractalMax operates independently and is not affiliated with or part of any news media outlets. Logos, trademarks, or materials referenced or displayed as part of our services remain the property of their respective owners.
Use of "As Seen In" Badges
An "As Seen In" badge is offered as part of our Premium and Platinum Package. This badge is provided within our services to highlight the results achieved and is intended for exclusive use on the Client's website. The logos and other components of the badge are supplied through a solution included in our operations. It is the Client's responsibility to ensure the correct and appropriate use of these badges, particularly by refraining from any implication of unauthorized affiliation or endorsement.
